JOB TITLE: Corporate Counsel
DEPARTMENT: Legal EXEMPT: Yes
SUPERVISOR: CEO LOCATION: Remote/Schaumburg, IL
SUMMARY: This role will report to the CEO and handle the Company's legal matters, including general legal matters, supplier contracts, customer contracts, third party claims, insured claims, employment issues and overseeing outside counsel.
This role also serves as a business advisor, providing advice and counsel to the Company's managers and staff concerning the laws that impact their functional areas.
ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties may be assigned as appropriate and necessary:
- * Handle day-to-day legal matters affecting the Company, with appropriate referrals to outside counsel.
- * Ensure that the organization remains in compliance with all applicable laws and regulations.
- * Stay up-to-date on legal developments, laws, regulations and other matters which may affect the Company and share updates as appropriate.
- * Provide practical advice to the business on legal, business and operational matters.
- * Collaborate with the Contract Manager and support various groups across the company with a focus on contract drafting and negotiations.
- * Provide counsel for HR and management staff in matters of conflict resolution, disciplinary action and employee development.
- * Work with affiliate company's General Counsel to maintain oversight of global sensory corporate governance, including managing the legal entity structure and maintenance of domestic and international subsidiaries.
- * Work with outside counsel to assist with transactional matters, including M&A and strategic investments, post-closing integration and related matters.
- * Ensure the effective management of relationships with external counsel (ensuring effective and cost-efficient service).
- * Work with outside Intellectual Property counsel to support the Marketing and R&D Departments as needed regarding patents, trademarks, and related intellectual property matters.
- * Assist the Chief Financial Officer as appropriate with audits, financial inquiries, questions from lenders, etc.
- * Assist the business with creation and review of routine business documentation, such as NDAs, Purchasing Agreements, Distribution Agreements, terms and conditions of sale, collections, legal correspondence, and related matters.
- * Handle real estate lease negotiations and amendments in the US and worldwide.
- * Other legal-related work as may arise.
Education and/or Experience and Skills
- * JD degree from ABA accredited law school.
- * Member in good standing of at least one State bar or qualification as an in-house counsel.
- * 5+ years of experience with contracts and corporate law, with employment law experience and a mix of law firm and in-house experience preferred, but not necessary.
- * Ability to anticipate legal issues or risks and to "see around the corner".
- * Proven track record of providing thoughtful, practical legal and strategic guidance to an executive team or clients.
- * Ability to develop legal strategy and objectives.
- * High degree of professional ethics, integrity and gravitas.
- * Excellent communication, interpersonal, and public speaking skills.
- * Strong technology skills.
- * Excellent judgement and analytical skills.
- * Experience successfully working in a highly collaborative manner across a variety of business functions and geographies.
- * Proven attention to detail with organizational skills.
PHYSICAL DEMANDS: While performing the duties of this job, the employee is regularly required to sit and talk or hear. The employee is regularly required to work at a keyboard and computer.
WORK ENVIRONMENT: The candidate will work from home unless located close to a Natus office. Residence in commuting proximity to the Company's Schaumburg office a plus. Occasional travel to the Company's facilities in the US and abroad is required.
