The Counsel/Senior Counsel position will provide legal services to the Company's Marketing and Midstream units, including assisting with gas gathering, processing, and purchase agreements, crude oil and condensate purchase agreements, buy-sell agreements, transportation agreements, aid in construction agreements, dedication and connection agreements, gas lift agreements, and spot contracts. The position provides day-to-day advice on a broad range marketing and midstream matters, and will also be expected to competently provide a variety or other general legal advice and services to business units throughout the Company. The position would provide advice on potential midstream joint ventures, royalty payment matters, and oil and gas M&A transactions involving marketing arrangements and midstream assets.

Job Duties and Responsibilities:

  • Provide legal services to the Marketing group related to marketing and midstream operations.
  • Review, prepare and advise business units regarding the purchase, sale and exchange of crude oil, gas, and condensate.
  • Provide Legal services to various departments and business units regarding a variety of transactional and commercial matters, including drafting, reviewing, negotiating, and/or providing complex commercial contracts across a full range of marketing, operations and commercial matters.

Required Qualifications:

  • J.D. from an accredited law school with strong academic credentials
  • Admission to state bar with ability to practice in-house in the State of Texas
  • Minimum of (7) years' experience as a practicing attorney; prior in-house experience preferred
  • Midstream and marketing oil and gas legal experience in handling complex marketing matters, drafting and negotiation of term and spot sales contracts; providing general knowledge advice and counsel to oil and gas exploration clients
  • Highly organized with the ability to work both independently and as part of a team, and to prioritize among competing projects for the timely delivery of legal services
  • Ability to provide legal advice on a vast array of contractual matters relating to oil and gas exploration infrastructure development and operations
  • Excellent communication (written and verbal) and analytic skills with a strong ability to draft and review complex and legal documents and apply advice in timely and practical manner
