We are presently seeking a Senior Corporate Paralegal and Assistant Secretarywho will work out of our corporate headquarters in Pittsburgh, PA. The Senior Corporate Paralegal & Assistant Secretary works with a dynamic and collegial team of attorneys and other professionals in a supportive environment focused on teamwork, performance and responsibility. The Senior Corporate Paralegal provides support for matters relating to corporate governance, global entity management, the Board of Directors, and other corporate transactions.
Main responsibilities:
- Provide global entity management support, including managing and maintaining governance matters for global legal entities;
- Assist in the formation, dissolution, and restructuring of legal entities; coordinate preparation of annual reports and other regulatory filings;
- Liaise with and manage outside counsel and advisors for legal entity/subsidiary governance matters, manage director and officer slates;
- Support corporate transactions, including mergers and acquisitions, banking matters and securities related requirements;
- Assist with preparation of Board and Board Committee agendas & meeting packages;
- Drive development and implementation of governance best practices; assist with drafting and updating Board and Committee charters; maintain and update corporate governance documents and policies;
- Prepare minutes, resolutions and written consents for Board and Board Committees; maintain corporate minute books;
- Coordinate across the company to drive efficiencies and implement more standardization and automation for repeatable processes and requests.
Requirements:
- Bachelor's degree or paralegal certification required;
- 7+ years of experience as a corporate paralegal; experience in both a major law firm and in-house strongly preferred; experience in a public company preferred;
- High proficiency in Word, PowerPoint and Excel;
- Ability to work independently and manage multiple ongoing projects in a fast-paced, dynamic environment;
- Excellent written and oral communication skills, with ability to think outside the box and make complex challenges appear simple;
- Strong organizational skills and detail-oriented;
- Ability to instill confidence and interact with colleagues at all levels, including executive management and Board members, in a positive and professional matter aligned with Excelitas' culture.
