The Board Services Professional is responsible for organizing and maintaining the processes through which the Cleco Boards and Committees perform their oversight responsibilities and ensure that the requirements of laws, regulations and company governance documents are met timely and accurately. Maintains company records so that the Corporate Secretary department or management can confirm Board approvals, monitor compliance, determine past actions, and provide documentation for regulatory filings and business transactions. Works closely with executives and other management to review and compile Board and Committee meeting materials in order to facilitate Board approval and monitoring of the organization's strategy, business plan and other company business. The person filling this role must practice discretion with confidential information. Responsibilities
Champions a corporate culture that emphasizes transparency, integrity, safety, environmental responsibility, employee development, diversity and inclusion, customer service, and operational excellence. Manages all day-to-day operations and functions of the Corporate Secretary department and oversee the corporate structure, including i) coordinating, preparing and distributing materials for all Cleco Boards of Managers and Committee meetings, ii) maintaining key corporate documents and records across the company, iii) assisting with drafting and reviewing all SEC documents to ensure that appropriate corporate disclosure and compliance is maintained, iv) developing and communicating Board and Committee meeting schedules, logistics and agendas, materials deadlines and maintaining Board/Committee attendance records, and v) maintaining all Cleco business entities on the Secretary of State website so that regulatory and statutory responsibilities are met Ensures compliance with Sarbanes-Oxley and other laws and regulations Develops and cultivates relationships with all Board members, executive management and other managers/employees to promote effective communication and a positive work environment Updates all leadership and governance information and documents on the external website to ensure accurate information is available to the public Maintains processes for Board compensation, including annual calculations for tax purposes and expense reimbursement

Qualifications Required Education, Skills & Experience
Bachelor's degree in English, Accounting or Business or related field 5+ years of related experience preferred Strong organization and detail-oriented skills Proficient in Microsoft Word, Excel and PowerPoint and comfortable learning new software applications, including video conferencing technology
