Job Description
The New York Capital Markets & Corporate Compliance Associate will utilize extensive knowledge of US
securities and corporate law and experience working with domestic and international companies, including
China-based companies, to work directly with partners and lead on sophisticated securities and corporate matters alongside colleagues who support training and advancement within a collegial and dynamic environment; focus on capital markets and corporate law work, including U.S. federal and state securities laws; utilize strong working knowledge of '33 and '34 Act regulations and compliance, as well as experience working on initial public offerings, PIPEs, SPACs and De-SPACs and general corporate experience in the practice of law. Remote work allowed up to 40% of the time, depending on the requirements of the partner.

Annual salary between: $325,000 - $375,000

Job Requirements
Requires a U.S. law degree (J.D.) or Master of Law (L.L.M.) from an American Bar Association (ABA) accredited U.S. law school or equivalent; New York attorney license in good standing (or equivalent as authorized by the New York State Bar); and three years of experience with the following: (a) drafting registration statements on Forms S-1, F-1, S-3 and F-3; (b) drafting of annual reports on Form 10-K and 20-F, quarterly reports on Form 10-Q, Forms 8-K and 6-K and proxy statements, as well as preparing materials for annual and special meetings and counseling clients on NYSE and Nasdaq listing standards and stock exchange rules; (c) '33 and '34 Act regulations and compliance; (d) working on initial public offerings, PIPEs, SPACs and De-SPACs; (e) drafting securities filings, including Schedules 14A, 14C, 13D, 13G, and Section 16(b) filings; (f) drafting bylaws, board resolutions, incorporation/formation documents, LLC operating agreements, subscription agreements, trust agreements, insider letters, underwriting agreements, and other corporate governance documents, and opinion on corporate and securities laws; (g) advising reporting companies on certain corporate actions including name and ticker changes, reverse stock split, filing FINRA and Secretary of State notices; (h) experience working with domestic and international companies, with a particular emphasis on China-based companies; and (i) experience working with Chinese based-law firms. Experience may be gained concurrently. Remote work allowed up to 40% of the time, depending on the requirements of the partner.
