ARES is seeking a Transfer Commercialization Manager 2. The contractor, working in close coordination with the NASA Langley personnel overseeing licensing: Responsibilities:
- Responds to inquiries from potential licensees through phone, email, the NASA Technology Transfer Portal, the ATLAS, and referred by the Agency Licensing Concierge within 2 business days.
- Provides additional information (if available) about the Technology Opportunity Sheet or patent(s) for which the potential licensee has expressed interest. Facilitates non-disclosure agreements as needed for patent(s) pending technologies. Uploads signed non-disclosure agreements (NDAs) to NTTS Tech Transfer Module, then schedules meetings with the inventor about patented technologies as needed.
- Describes to potential licensee what licensing options are available to them from NASA (research, non-exclusive, exclusive, partially exclusive with a field of use, Startup NASA, and any future options). Gathers feedback from the licensee as to their priorities and business model and researches how NASA has already licensed the patent(s). Finally, recommends a license type to the potential licensee.
- Explains to potential licensees how NASA structures royalties in NASA license agreements (e.g., initial fee, recurring royalties [a as a percentage of gross sales], and annual minimum).
- In consultation with an authorized NASA employee (i.e., civil servant), proposes an initial
- CUI royalty fee structure for the proposed license, communicates counteroffers from licensee to NASA Technology Transfer Officer, and transmits NASA approved-royalty terms that will be listed in the draft license agreement.
- Generates draft license agreement using NASA standard license templates (most common templates are automated in the NTTS database).
- Sends draft license agreement to center patent counsel and the civil servant that manages licensing, for review and approval. Upon approval by counsel and the civil servant, sends draft agreement to licensee for review. Records relevant dates and information in NTTS License Module.
- Communicates any proposed changes to terms and conditions within licensing agreements, if any, to center patent counsel and the civil servant that manages licensing, for their approval. Promptly communicates in writing the disposition of any proposed changes to the licensee and document these dispositions in the updated license agreement.
- Regularly follows up with the licensee to obtain status information on the agreement until NASA has received the signed agreement. Notifies the authorized NASA employee if the licensee does not respond to status inquiries or otherwise loses interest in obtaining the license.
- Prepares center license signature packages in accordance with center specifications; packages should be ready for e-signatures. Documents in the package may include the license application, initial royalty payment receipt, recommendation to grant memo, determination to grant memo, and the licensee-signed license agreement. Provides packages to the authorized NASA official/employee to sign and routes signature package through proper center/agency channels, to obtain necessary NASA signatures/approvals.
- Once the license signature package documents are signed, uploads all to license record in the NTTS Licensing Module and updates any other data fields required to log the license. Sets up an appropriate royalty schedule in NTTS License Module for automated reminders. Transmits the NASA-signed license agreement to the licensee for their records.
- If requested and previously approved by NASA in writing, communicates with the licensee to set up a kickoff meeting with NASA inventor and the licensee (as needed) to transmit patent(s) related information and answer questions. Uploads any materials submitted by the inventor(s) to the NTTS Technology Transfer Module for that case.
- Works with the authorized NASA employee(s) to resolve any issues that may arise during the license and works with the center patent counsel to generate appropriate license modifications or license termination paperwork as required.
- Contacts the licensee in writing three months prior to the end of the license period (e.g., research licenses,) to determine if a follow-on commercial license is appropriate, or if an extension is needed. Reports this information to the authorized NASA employee(s) for review and written approval of any determination(s). Gathers information pertaining to any issues or progress to date that has occurred. Records such information in the NTTS chronology.
- Collects any required annual reports from licensee and uploads such reports to the NTTS License Module.
- Conducts in-reach presentations to NASA research and engineering branches to convey Technology Transfer Program information.
- Updates NTTS as needed.
- Occasional local travel to support regional and/or national technology transfer activities in support of NASA's technology transfer program.
- Services will be provided primarily onsite. The majority of the work will be performed at NASA Langley.
Education:
- 4-6 years of experience in the field or related area
