Job Description

As a key member of the Executive Management team, the Vice President, Legal | General Counsel ("GC") leads the TEL US legal function and serves as the primary legal advisor to the President, TEL US Holdings, Inc., and the VP & General Manager, TEL Legal. TEL US Holdings, Inc. is a subsidiary of Tokyo Electron, Ltd. The GC supports all TEL US business units and subsidiaries and coordinates global legal guidance with the corporate office in Tokyo, Japan. The successful candidate will oversee the full spectrum of legal services across strategic alliances and M&A, intellectual property, software, import/export compliance, litigation and dispute resolution, commercial and real estate transactions, joint development and licensing agreements, labor and employment, ethics and compliance programs, regulatory guidance, and management of outside counsel.

Scope & Impact

The GC leads a team of attorneys and legal professionals responsible for hundreds of complex transactions annually and personally manages the most high-profile and high-risk matters with significant dollar exposure. The role provides legal counsel across all phases of transactions-including due diligence, structuring, term sheets, drafting, negotiation, closing, alliance management, and dispute resolution-while driving simplification and best practices. The GC also stewards talent management for the Legal Department to ensure a highly engaged, high-performing team aligned with TEL's cultural values.

Key Responsibilities

  • Deliver a multidisciplinary approach across commercial, regulatory, intellectual property, ethics and compliance, labor and employment, and real estate matters.
  • Advise executive leadership on legal impacts of strategic decisions and risk trade-offs; support escalations and board-level matters.
  • Manage outside counsel to ensure scope, quality, timeliness, and cost discipline; implement matter management and billing best practices.
  • Lead, negotiate, and close expedited, sophisticated technology, commercial, and real estate transactions; oversee related contracts management and IP considerations.
  • Oversight for the review of a high volume of complex IP, technology, and commercial agreements (e.g., JDAs, licenses, software, supply, services).
  • Provide strategic IP counsel in connection with new product development and commercialization; coordinate pre-litigation, defense, and settlement of patent claims.
  • Oversee ethics and compliance programs, including training, investigations, and reporting; ensure adherence to global standards and local regulations.
  • Champion productivity improvements, knowledge sharing, and process simplification across the transactional legal team.
  • Develop department strategy, budgets, and talent plans; coach and grow a diverse team; foster engagement aligned to TEL's culture.
  • Required Qualifications
  • BA/BS and JD from accredited institution; active State Bar membership in good standing.
  • Minimum 20 years practicing law, including at least 10 years addressing global and international regulatory and legal issues.
  • Proven ability to independently manage complex transactional matters and deliver business-oriented solutions.
  • Exceptional oral and written communication abilities, including experience presenting to senior leadership and large audiences.

Preferred Qualifications

  • Business proficiency in both Japanese and English, with the ability to communicate effectively in a global corporate environment.
  • Experience working at a technology company, with a strong preference for candidates who have worked in the semiconductor sector and/or a Japanese company.
