Duties, Responsibilities & Other

The Associate General Counsel (Commercial & Real Estate) will step into a highvisibility role shaping key commercial, real estate, and transactional initiatives across the company. Reporting directly to the General Counsel, this attorney will partner with leaders at every level, build strong relationships inside and outside the organization, and help drive strategic execution while managing risk for KCI.

This role is ideal for a seasoned transactional attorney-preferably with Architectural, Engineering, and Construction (AEC) industry experience-ready to lead contract negotiations, refine and manage contract templates, implement a contract lifecycle management platform, review office leases, support transactions involving the purchase of conservation easements, and assist with acquisitions.

While KCI prefers this role be based at our Sparks, MD headquarters, we're open to locating the position in one of the following KCI regional offices: Harrisburg, PA; Newark, DE; Raleigh, NC; Rock Hill, SC; Duluth, GA; or Tampa, FL.

The responsibilities for this position include, but are not limited to:

    Contracts & Transactions
    • Draft, review, and negotiate a variety of commercial agreements, including professional services agreements, subcontracts, NDAs, and vendor agreements.
    • Support contract lifecycle management and assist with the development of standard templates and contract processes.
  • Real Estate & Leasing
    • Support real estate transactions, including the acquisition or sale of property interests and easements.
    • Review and negotiate commercial leases and subleases.
  • Mergers & Acquisitions
    • Assist in the legal aspects of mergers, acquisitions, joint ventures, and other strategic transactions.
    • Support diligence reviews, coordinate with external advisors, and contribute to integration planning.
    • Draft and review letters of intent, term sheets, and transaction agreements.
  • Risk Management & Insurance
    • Advise on risk allocation and mitigation in project delivery and operations.
    • Coordinate with the risk and insurance team on coverage matters and risk transfer strategies.
  • Internal Collaboration & Education
    • Serve as a trusted advisor to operational leaders and staff.
    • Provide legal training and guidance to internal teams on key legal and risk topics.

In addition to expertise within a designated functional area, the Associate General Counsel is expected to take on formal leadership responsibilities within the Legal Department. This includes managing and developing legal staff, fostering collaboration, and ensuring the delivery of high-quality, business-oriented legal services across the enterprise, as further described below:

  • Lead, mentor, and develop a team of attorneys, paralegals, and other legal staff, fostering a collaborative and high-performing work environment.
  • Provide clear direction, feedback, and professional growth opportunities to support team members' career development.
  • Manage allocation of work across the team to ensure effective coverage of legal matters and alignment with business priorities.
  • Establish and maintain standards for high-quality, timely, and business-oriented legal advice across the team.
  • Partner with HR and senior leadership to recruit, onboard, and retain top legal talent.
  • Promote a culture of integrity, accountability, and continuous improvement within the Legal Department.
  • Serve as a visible leader within the Company, modeling sound judgment, business acumen, and commitment to client service.

The following outlines the level of independent authority, decision-making scope, and complexity of matters handled for this role. It highlights how the position interacts with business leaders, manages risk, and exercises judgment within the Legal Department and across the enterprise.

  • Exercises broad independent authority in managing enterprise-level legal issues that involve significant complexity, risk, and strategic importance.
  • Advises senior executives on critical legal, compliance, and governance matters.
  • Oversees or directly manages matters with multi-jurisdictional, regulatory, or high-stakes implications, often with limited need for escalation.
  • Makes department- or enterprise-wide legal decisions, setting strategy and balancing risk tolerance against business objectives.


Qualifications

Education and/or Skills Required:

  • Juris Doctor degree from an ABA accredited law school (required).
  • Strong interpersonal, communication, organizational and analytical skills and the ability to influence and build relationships.
  • Ability to effectively manage multiple matters (from inception through implementation) simultaneously and flexibility to shift focus and priority as business needs change while also consistently maintaining strong attention to detail, accuracy and quality.
  • Demonstrated exceptional capabilities with computer and software systems (Microsoft office family, etc.)

Education and/or Work Experience Preferred:

  • Minimum of ten (10) years of relevant legal experience (required) within a law firm and/or in-house (preferred).
  • Experience within the AEC industry, including knowledge of potential risks and mitigation methods/strategies within the industry (preferred).

Certificates, Licenses and/or Registrations Required:

  • Member in good standing with any U.S. state bar (required).
