Wieland is hiring a Paralegal. The Paralegal will support the North American based Legal Department by performing a broad range of legal support and services for members of the Legal Department across commercial contracting, corporate governance, litigation support, and legal operations. This role is designed to increase efficiency, reduce outside counsel spend, and support a fast-paced, business-oriented Legal Team. In addition, this position manages the entity registrations and legal invoice processing systems for North American operations. This role is located in Louisville, KY and will be on-site.



Responsibilities

Paralegal Responsibilities:

    Commercial Contracting
    • Assist with drafting and reviewing legal documents (NDAs, vendor, and service contracts) while managing all states of the contract life-cycle from intake through filing.
    • Maintain and update contract templates, clause libraries, and playbooks in coordination with Legal leadership.
  • Corporate & Entity Management
    • Manage the state registrations for all North American corporate entities and state good standing certifications and foreign certifications.
    • Administer the registered agent system (CSC) and maintain accurate records of directors, officers.
    • Work with the Corporate Secretary to prepare all documents required to form corporations and limited liability companies, such as documents for amendments, withdrawals, mergers and dissolutions of corporations or limited liability companies and prepare corporate resolutions and other similar items.
    • Support the Corporate Secretary in preparing and organizing the Company's board meetings including drafting and editing minutes, resolutions and agendas as needed.
  • Legal Operations
    • Manage outside counsel invoices, budgets and matter tracking.
    • Support implementation and administration of legal tech tools.
    • Develop and maintain Legal Department processes and SOPs.
    • Assist developing reports and metrics for Legal leadership.
    • Maintain accurate matter tracking, calendars, and reporting to ensure compliance, consistency, and timely execution across legal processes.
  • Litigation & Dispute Support
    • Support litigation and dispute matters including document collection, preservation, and production.
    • Manage litigation holds and coordinate discover, subpoenas, and case logistics with internal and external counsel.
  • Cross-Functional Support
    • Act as a liaison between Legal and Procurement, Finance, HR and the BUs.
    • Manage annual government registrations (SAM.gov, CAGE).
    • Contribute to compliance, risk mitigation, and continuous process improvement efforts that enhance Legal operational efficiency.
    • Perform incidental administrative tasks in support of the Legal Department, including scheduling, document formatting, filing, and coordination of internal and external meetings.

Paralegal Qualifications:

  • Minimum 10 years of experience as a paralegal or comparable legal experience, with significant (5+ years) in-house experience strongly preferred.
  • Bachelor's degree from an accredited college or university required.
  • Paralegal Certificate from an ABA-approved paralegal program required.
  • Excellent written and verbal communication skills, combined with a high level attention to detail and accuracy in all work product.
  • Ability to work and communicate effectively with all levels of the organization.
  • Highly self-directed professional capable of independently managing responsibilities, anticipating needs, and executing with minimal oversight.
  • Excellent computer skills with knowledge of Microsoft Office.
  • Must be an active Notary Public in Kentucky or able to obtain a commission within 60-90 days of hire.
