Senior Legal Counsel - Contracts

Role Summary

The Senior Legal Counsel - Contracts will serve as a trusted legal advisor to commercial, procurement, and operational teams, with primary responsibility for drafting, negotiating, and advising on a wide range of complex commercial agreements. This role requires deep contracts expertise, strong business judgment, and the ability to partner crossfunctionally in a fastpaced, growthoriented environment.

Key Responsibilities

Contracts & Commercial Support

  • Draft, review, negotiate, and advise on a broad range of commercial agreements, including customer contracts, master services agreements (MSAs), supply and procurement agreements, statements of work (SOWs), confidentiality agreements (NDAs/CDAs), licensing agreements, and amendments.
  • Serve as lead legal negotiator on highvalue, highrisk, and strategically important contracts.
  • Develop and apply riskbased contract positions aligned with business objectives while protecting the company's legal and financial interests.

Business Partnership

  • Act as a strategic legal partner to Sales/Business Development, Procurement, Finance, and Operations teams.
  • Provide practical, solutionoriented legal advice that balances risk mitigation with business needs.
  • Support deal structuring and escalation decisions related to contract terms, pricing, liability, indemnification, IP, and regulatory considerations.

Contract Governance & Process Improvement

  • Maintain and continuously improve contract templates, playbooks, fallback positions, and negotiation guidelines.
  • Drive consistency and efficiency in contracting practices across the organization.
  • Support contract lifecycle management processes and tools, including training business partners on contract standards and best practices.
  • Support introduction and use of AI tools to drive speed, consistency and efficiency in legal contracting.

Risk Management & Compliance

  • Identify and escalate legal, regulatory, and commercial risks associated with contracts.
  • Partner with compliance, privacy, and regulatory stakeholders as needed on data protection, IP, and industryspecific requirements.
  • Support dispute resolution related to contractual matters and coordinate with external counsel when necessary.

Leadership & Collaboration

  • Mentor junior attorneys and contract professionals, as applicable.
  • Contribute to broader legal department initiatives, including policy development, training, and crossfunctional projects.
  • Demonstrate sound judgment, professionalism, and confidentiality in all matters.

Qualifications

Education & Licensure

  • Juris Doctor (JD) from an accredited law school.
  • Active bar membership in at least one U.S. jurisdiction; eligible for inhouse practice.

Experience

  • 6-10+ years of relevant legal experience, including significant experience drafting and negotiating complex commercial contracts and resolving customer disputes.
  • Combination of law firm and inhouse experience preferred.
  • Experience supporting sales / business development, procurement and operations teams in a regulated, multisite, or global organization preferred.

Skills & Competencies

  • Deep expertise in contract law and commercial negotiations.
  • Strong business acumen with the ability to translate legal risk into practical guidance.
  • Excellent written and verbal communication skills.
  • Proven ability to manage multiple priorities in a fastpaced environment.
  • Collaborative, pragmatic, and solutionsfocused approach.
  • High integrity, sound judgment, and attention to detail.

Preferred Experience

  • Industry experience in life sciences, healthcare, manufacturing, CDMO, or other regulated industries.
  • Experience with international contracts and crossborder transactions.
  • Familiarity with data privacy, IP, and compliance considerations in commercial agreements.
